End User License Agreement

This End-User License Agreement (“Agreement”) governs your use of the DoubleTree Distribution website, product builder, and customer portal (together, the “Portal”), operated by DoubleTree Distribution (DoubleTree Distribution), “DoubleTree,” “we,” “us”). By using the Portal, you agree to this Agreement on behalf of yourself and the business you represent. If you do not agree, please do not use the Portal.
1. License
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal for your business’s dealings with DoubleTree — configuring products, requesting estimates, accepting estimates, and following your orders. We may update, change, or discontinue any part of the Portal at any time.
2. Your account
Portal accounts belong to a company, not an individual. The person who manages your company’s account is responsible for who at your company has access to it.
- Keep your sign-in details confidential, and do not share them with anyone outside your company.
- Tell us promptly if someone with access leaves your company, or if you think your account has been used without permission.
- You are responsible for activity under your company’s account, including estimates accepted and purchase order numbers entered.
We may suspend an account that is being misused or that puts the Portal or other customers at risk.
3. Acceptable use
You agree not to:
- use automated tools to submit requests, collect pricing or copy content from the Portal;
- try to get around the Portal’s security, or to access another customer’s account or information;
- submit false information, or requests in someone else’s name;
- interfere with the Portal’s normal operation, or place an unreasonable load on it;
- use the Portal to build a competing service, or resell or sublicense access to it.
4. Estimates, pricing and orders
- Estimates are not binding until confirmed. Prices shown while you configure a product, and on an estimate, are estimates. They may change until you accept and we confirm an estimate.
- Some estimates need a representative first. Larger estimates, and estimates containing items marked for a representative to price, must be reviewed by one of our representatives before they can be accepted. Items marked that way are not priced and are not included in the total shown.
- Estimates expire. An estimate is valid for the period shown on it. After that, you can ask us to update it.
- Accepting an estimate places an order. When you accept an estimate in the Portal, you are placing an order with us on the terms of that estimate. We will confirm it before production begins.
- Errors. We may correct obvious errors in pricing, descriptions or availability, including after an estimate has been issued.
- Terms of sale. Every order is also subject to the terms on our invoice and to any written terms of sale we provide. If those conflict with this Agreement on a matter of sale, they take priority.
5. Product information and code compliance
Images, renderings, and finish samples in the Portal are illustrative. Actual colors and finishes vary, and dimensions shown are nominal — confirm field measurements before ordering.
The product builder is a configuration tool, not a design or code-compliance service. You are responsible for confirming that the products you order suit your project and meet the building, fire, accessibility, and life-safety codes that apply to it. Our representatives are glad to help, but that responsibility stays with the purchaser and the project’s design professionals.
6. Communication
The Portal shows the status of your estimates and orders. Questions about an estimate or order should go to your assigned DoubleTree representative by phone or email.
7. Our QuickBooks Online connection
The Portal connects to DoubleTree’s own QuickBooks Online company, provided by Intuit Inc., so that estimates created in the Portal can be recorded for our accounting team to review and invoice.
- The connection is operated by DoubleTree for its own accounting. It is not offered to, and cannot be used by, other QuickBooks users.
- It uses QuickBooks accounting data only — customer records, our product and service list, and the estimates the Portal creates. It has no access to payroll, payments or banking.
- It can be disconnected at any time, from within QuickBooks Online or from the Portal’s administration settings. When it is disconnected, the stored connection credentials are deleted.
- Information sent to QuickBooks is handled as described in our Privacy Policy. Use of QuickBooks Online is governed by Intuit’s own terms.
QuickBooks and Intuit are trademarks of Intuit Inc. The Portal is not endorsed by or affiliated with Intuit.
8. Privacy
Our Privacy Policy explains what information we collect through the Portal and how we use it. It forms part of this Agreement.
9. Ownership
The Portal — including its design, content and software — belongs to DoubleTree Distribution or its licensors, and this Agreement gives you no ownership of it. Product names, brands and trademarks shown in the Portal, including those of the manufacturers whose products we distribute, belong to their respective owners. Their appearance does not mean those owners endorse the Portal.
10. Disclaimer
The Portal is provided “as is” and “as available.” We work to keep it accurate and available, but we do not promise it will be uninterrupted, error-free or free of harmful components, and to the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. This section concerns the Portal itself — products you buy from us come with the warranties stated for them.
11. Limitation of liability
To the fullest extent permitted by law, DoubleTree will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Portal. Our total liability for any claim relating to the Portal is limited to one hundred dollars ($100). This section does not limit liability that cannot be limited by law, and does not affect the terms that apply to products you purchase.
12. Ending this Agreement
You may stop using the Portal at any time. We may suspend or end your access if this Agreement is broken, or if we discontinue the Portal. Sections 4, 5 and 9 through 13 continue to apply after access ends.
13. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute relating to the Portal will be heard in the state or federal courts located in Texas.
14. Changes
We may update this Agreement. When we do, we will change the date at the top of this page and email portal account holders about material changes. Continuing to use the Portal after a change means you accept the updated Agreement.
